Terms of Service

1. Introduction

These Terms of Service govern your use of ListBee, operated by Demc, Računalniške storitve, Damjan Malis s.p., a sole proprietorship registered in Slovenia (registration no. 8911215000, VAT SI16792823), located at Drenov Grič 171D, 1360 Vrhnika, Slovenia.

2. What ListBee Is

ListBee is a software platform that enables you to create checkout pages ("Listings") for digital products. ListBee provides:

• Tools to create and publish Listings via API or MCP
• Stripe-powered checkout pages for buyers
• Automatic order creation on payment confirmation
• Digital content delivery — file downloads, URL redirects, and text content

ListBee is not a marketplace or merchant of record. We provide software tools and act as a payment facilitator via Stripe Connect. You use them to sell your products.

3. Roles

• Seller: A user who creates Listings via the API
• Buyer: A person who interacts with a Listing, including by attempting to purchase, submitting contact details, or communicating with a Seller

4. Account Registration

To use ListBee as a Seller, you must create an account. By registering, you confirm that:

• You are at least 18 years old
• You have the legal capacity to enter into this agreement
• The information you provide is accurate

You are responsible for maintaining the security of your API keys. ListBee is not liable for unauthorized access resulting from your failure to protect your credentials.

5. Subscription & Billing

ListBee offers free and paid plans. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

• Subscriptions renew automatically
• You may cancel at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• Subscription fees are non-refundable

6. Refunds

Sellers set their own refund policies for their products. ListBee does not process refunds on behalf of Sellers.

For ListBee subscription fees: If you are an EU consumer, you have a 14-day withdrawal right. By subscribing and using the service immediately, you acknowledge that this right is waived once service begins.

7. Your Responsibilities as a Seller

When you use ListBee to sell products, you are the seller. You are solely responsible for:

• Product legality: Ensuring your products comply with all applicable laws
• Intellectual property: Owning or having rights to sell what you list
• Accurate descriptions: Truthfully representing your products
• Fulfillment: Delivering what buyers purchase
• Customer support: Handling buyer inquiries and complaints
• Taxes: Collecting and remitting any applicable taxes

8. Prohibited Content

You may not use ListBee to sell products or content that:

• Violate any applicable law or regulation
• Infringe intellectual property rights of others
• Involve illegal goods, weapons, controlled substances, or regulated items without proper licensing
• Contain or promote child exploitation material
• Constitute fraud or deception

We may remove Listings or suspend accounts that violate these terms without notice.

9. Payments via Stripe

ListBee uses Stripe Connect to process payments. By using ListBee as a Seller, you agree to Stripe's Connected Account Agreement. When payments are processed:

• Buyers pay via Stripe Checkout. Payment card data is handled solely by Stripe.
• Funds are transferred to your connected Stripe account according to Stripe's payout schedule.
• ListBee deducts a platform fee from each transaction before remitting funds.
• You are responsible for any refunds, disputes, or chargebacks on your Stripe account.

10. ListBee's Role

ListBee acts as a payment facilitator through Stripe Connect. ListBee does not take title to goods sold or act as the merchant of record. The seller is solely responsible for the sale, fulfillment, and any related obligations including taxes, refunds, and compliance.

11. Content Ownership

You retain ownership of all content you upload. By using ListBee, you grant us a limited, non-exclusive license to host, display, and process your content solely to operate the service.

12. Content Hosting

ListBee provides file hosting through Bunny CDN. You are solely responsible for the content you sell. ListBee does not review, monitor, or verify hosted content.

13. Termination

You may close your account at any time. We may suspend or terminate your account if you violate these Terms. Upon termination, you remain responsible for fulfilling any pending orders.

14. Service Availability

ListBee is provided "as is" and "as available." We do not guarantee uninterrupted service.

15. Limitation of Liability

To the maximum extent permitted by law, ListBee is not liable for indirect, incidental, or consequential damages. Our total liability is limited to subscription fees paid in the preceding 12 months.

16. Governing Law

These Terms are governed by the laws of Slovenia. For EU consumers, this does not affect your statutory rights.
